End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and GetFileSense ("Licensor," "we," "us," or "our") for the use of the GetFileSense software application (the "Software"). By downloading, installing, or using the Software, you agree to be bound by this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. Grant of License

Subject to your compliance with this EULA and, for Pro features, the maintenance of an active paid subscription, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on one (1) personal Windows computer that you own or control.
Access the Duplicate Finder feature indefinitely under the free tier.
Access the AI Organizer Pro features for the duration of your active paid subscription.

2. License Restrictions

You may not:

Copy, modify, or create derivative works of the Software
Distribute, sell, sublicense, rent, or lease the Software or any rights therein to any third party
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as permitted by applicable law
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Use the Software for any commercial purpose other than as expressly permitted herein
Share account credentials to allow multiple users to use a single subscription
Use the Software in any way that violates applicable local, national, or international laws or regulations

3. Ownership and Intellectual Property

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. You acknowledge that no title to the intellectual property in the Software is transferred to you.

4. Pro Subscription License

Access to AI Organizer Pro features requires an active paid subscription. The license to those features is conditional upon the continuous payment of applicable subscription fees. Upon cancellation or expiration of your subscription, your right to use Pro features will terminate immediately, though you will retain access through the end of your paid billing period.

5. Updates and Maintenance

Licensor may provide updates, patches, or new versions of the Software from time to time. Such updates may be automatically installed or may require your action. This EULA applies to all updates and new versions unless they are accompanied by a separate license agreement.

6. Data and Privacy

The Software operates primarily on your local machine. Your files and folder contents are never transmitted to our servers. Authentication tokens and anonymized usage metrics may be transmitted as described in our Privacy Policy, which is incorporated by reference into this EULA.

7. Third-Party Software

The Software may include or utilize third-party open-source libraries and components. Such components are governed by their respective licenses. A list of third-party components used may be available within the Software's documentation.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR FREE.

9. Limitation of Liability

IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LICENSOR IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

This EULA is effective until terminated. It will terminate automatically and without notice from Licensor if you fail to comply with any provision of this EULA. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 3, 8, 9, and 11 shall survive termination.

11. Governing Law

This EULA shall be governed by and construed in accordance with applicable laws without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

12. Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and Licensor with respect to the Software and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
